Background
Krauss-Maffei Wegmann GmbH & Co. (“KMW”), the European market leader for highly protected wheeled and tracked vehicles, agreed to merge with Nexter Systems S.A. (“Nexter”), the French state-owned defence group focused on defence systems. Steen Associates is acting as sole financial adviser to KMW.
About the transaction
The transaction represents a merger of equals between a German family-owned company and a French state-owned entity. The alliance creates a leading European defence technology group with combined annual revenues nearing €2 billion and an order book of approximately €9 billion, strengthening the group’s industrial and strategic position across Europe and beyond.

Krauss-Maffei Wegmann is a European leader in highly protected wheeled and tracked military vehicles. Nexter Systems is a major defence systems provider owned by the French state. Together, the two groups form a scaled, strategically important European defence technology champion.
